Please read these Terms of Service carefully before using the Steel Pay platform or any related services. These Terms govern your access to and use of our Services and form a binding legal agreement between you and Steel Pay, Inc.
By accessing or using the Steel Pay website at steel-pay.com or any Steel Pay services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.
These Terms constitute a legally binding agreement between you (or the entity you represent) and Steel Pay, Inc. ("Steel Pay", "we", "us", or "our"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
Steel Pay provides enterprise payment infrastructure, including payment processing, settlement, fraud intelligence, treasury management, compliance automation, and related API services. The specific features and functionality available to you depend on the plan or agreement in place between Steel Pay and your organization.
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with reasonable notice where practicable.
The Services are intended for use by businesses and their authorized representatives. You must be at least 18 years of age and have the legal authority to enter into binding contracts on behalf of your organization. The Services are not intended for personal, family, or household use.
To access certain features of the Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] if you suspect any unauthorized access to or use of your account.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not use the Services to process payments for illegal goods or services; to engage in fraud, money laundering, or other financial crimes; to violate any applicable law or regulation; to infringe the intellectual property rights of any third party; or to transmit harmful, offensive, or disruptive content.
Steel Pay reserves the right to suspend or terminate access to the Services for any violation of this section, without prior notice where required by law or to prevent harm.
Fees for the Services are set out in your order form, service agreement, or as otherwise communicated by Steel Pay. All fees are exclusive of applicable taxes unless stated otherwise. You are responsible for all taxes, levies, or duties imposed by taxing authorities in connection with your use of the Services.
Steel Pay reserves the right to modify its fees upon reasonable notice. Continued use of the Services after a fee change constitutes acceptance of the new fees.
All content, software, technology, and materials made available through the Services, including but not limited to the Steel Pay platform, APIs, documentation, trademarks, and logos, are the property of Steel Pay or its licensors and are protected by applicable intellectual property laws.
Subject to these Terms, Steel Pay grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes. You may not copy, modify, distribute, sell, or create derivative works from any part of the Services without our prior written consent.
Each party may have access to confidential information of the other party in connection with the Services. Each party agrees to protect the other's confidential information with at least the same degree of care it uses to protect its own confidential information, and not to disclose such information to third parties without prior written consent, except as required by law.
Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection, use, and disclosure of information as described in our Privacy Policy.
To the extent you provide Steel Pay with personal data of your customers or employees in connection with the Services, you represent that you have obtained all necessary consents and have the legal authority to share such data with us.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
STEEL PAY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STEEL PAY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES.
IN NO EVENT SHALL STEEL PAY'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE AMOUNTS PAID BY YOU TO STEEL PAY IN THE TWELVE MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Steel Pay and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any applicable law or the rights of any third party.
Either party may terminate these Terms or your access to the Services upon written notice if the other party materially breaches these Terms and fails to cure such breach within thirty (30) days of receiving written notice.
Steel Pay may suspend or terminate your access immediately without notice if required by law, if we reasonably believe your use poses a security risk, or if you engage in fraudulent or illegal activity. Upon termination, all licenses granted under these Terms will immediately cease.
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in New York, New York. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website with a revised effective date, or by direct communication where required by law. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms.
